These Terms of Service govern access to and use of DryAudio.com, an independent software service operated by Loopsbox B.V. under the DryAudio.com brand (“DryAudio”, “we”, “us” or “our”). By creating an account, purchasing a plan or using the service, you agree to these Terms.
1. Service
DryAudio provides technical audio-processing tools, including audio cleanup, mastering, loudness adjustment, metadata management, export preparation and related functions. DryAudio is not a music distributor, record label, publisher, performing-rights organization, collecting society, licensing service, legal-clearance service or certification authority.
2. Independent service; no affiliation
DryAudio is independent and is not affiliated with, endorsed by, sponsored by or approved by Spotify, Apple Music, YouTube, TikTok, Amazon Music, SoundCloud, Suno, Udio, any distributor, record label, publisher, digital service provider (“DSP”) or rights organization unless expressly stated in writing. References to third-party names are descriptive or compatibility references only.
3. Accounts and eligibility
You must provide accurate information, protect your login details and promptly report unauthorized access. You are responsible for all activity through your account. You must be legally capable of entering into this agreement. If you use DryAudio for an organization, you confirm that you have authority to bind it.
4. Plans, subscriptions and monthly credits
Plans, prices, billing intervals, features and allowances are shown on the pricing page and at checkout. Subscriptions renew automatically until cancelled. Unless a plan states otherwise, 100 credits are added to the account on each successful monthly renewal.
Credits are limited technical usage units. They are personal, non-transferable, non-refundable, not redeemable for cash and may not be sold or shared. Unless the plan expressly allows rollover, unused credits expire when the relevant billing period ends. Failed or reversed payments may prevent new credits from being issued or may remove credits granted for that payment.
5. When a credit is consumed
A credit is consumed when a processing job begins or when the service commits resources to that job. A processed or partially processed audio job is a supplied digital service. Used credits are not restored merely because the result differs from a user’s preference, a third party rejects the file, or the user changes their mind.
Where our own verified technical fault prevents delivery and no usable output is produced, we may, at our discretion and subject to mandatory law, restore the affected credit, rerun the job or provide another appropriate remedy.
6. Payments, Paddle and cancellation
Payments may be processed by Paddle as merchant of record. Paddle may issue invoices, calculate and collect taxes, and handle payment-related communications under its buyer terms. You may cancel before the next renewal through available billing controls or support. Cancellation stops future renewal but does not automatically refund a completed charge or restore consumed credits.
7. Refunds and mandatory consumer rights
Except where mandatory law requires otherwise, completed subscription periods, issued credits and processed audio jobs are non-refundable. Used credits are not refundable. Refunds are not provided for dissatisfaction with a subjective audio result, failure to cancel before renewal, unused credits, platform rejection, classification, monetization decisions or changes in third-party policies.
Nothing in these Terms removes a consumer right that cannot legally be excluded. Any applicable withdrawal or conformity right is subject to the nature and commencement of the digital service, the user’s express request for immediate performance where required, and applicable Paddle buyer terms.
8. Your content and copyright warranty
You retain the rights you hold in uploaded material. You grant DryAudio a limited, non-exclusive, temporary licence to host, copy, analyse and technically process that material solely to provide, secure and maintain the service.
You represent and warrant that you own, control or have obtained all permissions and licences required for every uploaded recording, composition, vocal, performance, sample, stem, artwork, name, metadata item and other element. This includes all rights and obligations involving artists, performers, producers, songwriters, publishers, record labels, licensors, distributors and collective-management or performing-rights organizations, including Buma/Stemra and comparable organizations worldwide.
DryAudio does not verify ownership, authorship, sample clearance, publishing splits, neighbouring rights, performer consent, voice consent, contractual restrictions or eligibility for distribution. The absence of a warning from DryAudio is not approval or clearance.
9. AI-generated and AI-assisted material
You remain responsible for the terms of any generator or source tool, disclosure duties, licences and third-party rights. DryAudio does not determine whether material is AI-generated, original, copyright-protectable, commercially distributable or eligible for royalties or monetization.
10. No detection-evasion purpose or guarantee
DryAudio is intended to improve and prepare audio. It is not intended to bypass, defeat, conceal from, mislead or manipulate AI-detection, provenance, fingerprinting, Content ID, copyright-identification, moderation, fraud-prevention or platform-review systems.
DryAudio does not guarantee that processing will remove or prevent an AI label, tag, classifier result, fingerprint match, provenance marker, disclosure requirement or other identification. We do not guarantee acceptance, publication, ranking, recommendation, monetization, royalties, playlist eligibility, continued availability or any other outcome on a DSP, distributor, label or platform. Third parties control their own algorithms, policies and decisions and may change them at any time.
11. Metadata
Metadata tools are provided for technical cleanliness and privacy. They may not be used to falsify authorship, ownership, origin, licence status, consent or a legally or contractually required disclosure. You are responsible for preserving or restoring any metadata required for your intended use.
12. Acceptable use
You may not use DryAudio for unlawful, infringing, fraudulent, deceptive or abusive purposes. Prohibited conduct includes processing material without rights, misrepresenting ownership, bypassing quotas, account sharing, automated abuse, scraping, malware, interference, reverse engineering, unauthorized resale, security testing without permission, or attempting to avoid platform safeguards or disclosure rules. The separate Acceptable Use Policy forms part of these Terms.
13. Complaints, fraud and suspension
We may block a job, preserve limited evidence, suspend or terminate an account, cancel access or forfeit remaining credits where we reasonably suspect fraud, chargeback abuse, infringement, repeated credible complaints, unlawful content, security risk, automated misuse or a material breach. We may act without advance notice where delay could cause harm, legal exposure or security risk.
14. Third-party services and external failures
The service may depend on hosting providers, data centres, operating systems, open-source software, DNS, registrars, internet providers, email providers, payment processors, Paddle, security providers and other third parties. To the extent permitted by law, DryAudio is not liable for outages, delays, corruption, unavailability, policy changes or failures caused by such third parties, internet or power failures, force majeure, attacks, government action or events outside our reasonable control.
15. Results, quality control and backups
Results vary according to source material, settings, encoding and playback environment. We do not guarantee that every file will sound better, remain lossless, satisfy a technical specification or suit a particular commercial purpose. You must keep original files and backups and must listen to, inspect and validate every output before release, delivery, broadcast or professional use.
16. Availability and changes
We aim to operate the service with reasonable care but do not guarantee uninterrupted, secure or error-free availability. We may maintain, update, replace, limit or discontinue functionality. We may change prices, plans, credit rules, limits or features prospectively. Material changes affecting an active subscription will be communicated where required by law.
17. Disclaimers
DryAudio provides software tools and general information only. It does not provide legal, copyright, licensing, publishing, tax, financial, distribution or platform-compliance advice. Examples, demonstrations, comparisons and marketing statements are illustrative and are not guarantees of a result.
18. Liability
To the maximum extent permitted by law, DryAudio is provided “as available”. We are not liable for indirect, incidental, special or consequential losses; lost profit, revenue, opportunity, royalties, data or reputation; rejected releases; account restrictions; demonetization; platform action; third-party claims; or losses caused by content, instructions, external services or failure to keep backups.
Where liability cannot be excluded, our aggregate liability connected with the affected service is limited to the amount paid by you for DryAudio during the twelve months preceding the event, or any higher minimum remedy required by mandatory law. Nothing excludes liability that cannot legally be limited.
19. Indemnity
To the extent permitted by law, business users agree to defend, indemnify and hold DryAudio harmless from third-party claims, losses and reasonable costs arising from their content, lack of rights or consent, infringement, unlawful use or material breach of these Terms.
20. Termination
You may stop using the service at any time. We may suspend or terminate access for non-payment, security, legal requirements, misuse or breach. Termination does not create a right to a refund and may cause unused credits and temporary files to expire, subject to mandatory law.
21. Governing law
These Terms are governed by the laws of the Netherlands. Mandatory consumer protections and mandatory jurisdiction rights in a consumer’s country of residence remain unaffected.
